甲乙双方在诚实信用、合作双赢的基础上,经友好协商,就音像制品经销事宜达成以下合作协议:

第一条甲方是国家批准的具有音像批发资质的经营单位,证照齐全。甲方《营业执照(副本)》复印件、《音像制品批发经营许可证》复印件为本合同附件,在本合同签订时向乙方提供。

第二条乙方是国家批准的具有全国音像批发资质的经营单位,证照齐全。乙方《营业执照(副本)》复印件、《音像制品批发经营许可证》复印件为本合同附件,在本合同签订之时向甲方提供。

第三条质量标准乙方保证向甲方销售的产品质量符合国家标准、行业标准。否则,甲方有权要求乙方予以调换。甲方要求调换的通知经乙方确认后,乙方日内将合格产品交付甲方指定地点。如有质量问题的音像制品数量超过本合同订购的该品种总数百分之,甲方有权向乙方退货。

第四条包装标准乙方音像制品封面及整件包装应当符合国家或者行业规定,并符合运输部门的要求。如因包装造成货物损坏,乙方应当予以调换。甲方要求调换的通知经乙方确认后,日内将合格产品交付甲方指定地点。

第五条销售价格与折扣

1、在本合同有效期内,乙方销售给甲方的音像制品的供货价格应当为乙方全国市场同一品种最低价格,但乙方特别促销的商品价格除外;2、未经乙方书面同意,甲方不得以低于乙方规定的最低销售价格销售乙方音像制品;

3、乙方同意根据甲方的销售金额给予甲方优惠、折扣或奖励,具体优惠、奖励措施为:。第六条货物交付甲方经销乙方音像制品的名称、品种、数量,以甲方向乙方发出的《购货订单》为依据,《购货订单》是本合约的一部分。乙方收到甲方《购货订单》并复函确认后,日内(不含法定休息日、节假日)通过

1、铁路;

2、公路;

3、水运;

4、空运)运输方式将货物发往甲方住所或甲方指定地点,货物发抵目的地前发生丢失、灭失、损坏的风险由乙方承担,货物发抵目的地后发生丢失、灭失、损坏的风险由甲方承担。

第七条运输费及运输保险费因履行合同所需运输费用、运输保险费由方承担。

第八条货物验收甲方收到货物后,应当于收货当天对音像制品的名称、品种、数量、质量和有无损坏情况进行验收,否则视为甲方对音像制品的名称、品种、数量、质量没有异议。

第九条货款结算甲乙双方约定每月月底对账一次,甲方将销售清单及销售金额报给乙方确认,经乙方确认后,甲方应在日内将货款汇入乙方账户。

第十条甲方因产品滞销要求退货,应当经过乙方同意,同一品种退货数量原则上不得超过该品种订货量的百分之。甲方退货所发生的运输及相关费用由甲方承担。乙方在甲方购货订单上已注明该品种音像制品不得退货的,甲方不得退货。

第十一条关于市场和促销

1、甲方有义务根据乙方的要求,在乙方指定的区域和期限内就指定产品开展促销活动,促销费用由乙方负责。

2、甲方在经营过程中不得损害乙方商誉,甲方发现第三人有损害乙方商誉的行为时,有义务立即通知乙方并协助乙方采取相应措施。

3、甲方在经销和促销活动中,有义务合理使用乙方商标和商号。

第十二条合同解除在本合同有效期内出现以下情况时本合同解除:

1、因不可抗力致使本合同无法履行时;

2、任何一方丧失音像制品经营资质时;

3、双方协商一致,本合同可以解除;

4、一方严重违约,另一方可以解除合同;

5、本协议期限届满时。

第十三条保密双方在本合同有效期内及终止后,均具有保守对方商业秘密的义务。

第十四条违约责任

1、甲方销售与乙方相同品种的盗版音像制品系严重违约行为,乙方发现甲方有上述违约行为,可以单方解除合同,并有权要求甲方承担相当于与盗版音像制品相同品种订货量同等金额的违约责任。

2、甲方不按时对账、隐瞒销售数据,或者拖欠货款的,乙方可以单方解除合同,并有权要求甲方支付相当于拖欠货款金额百分之的违约金。

3、因乙方音像制品侵犯他人著作权,致使甲方遭受经济损失的,甲方有权要求乙方全额承担。

第十五条争议解决方式本合同在履行过程中发生争议,由双方友好协商解决。协商不成的,任何一方均有权向有管辖权的人民法院提起诉讼。

第十六条本合同有效期为______年,自______年______月______日起至______年______月______日止。如双方继续合作,须在合同期满一个月前通知对方,另行签订销售合同。

第十七条

本合同未约定或约定不详的,双方可以签订补充协议。补充协议与合同附件、购货订单与本合同具有同等法律效力,补充协议与购货订单与本合同发生冲突时,以补充协议、购货订单为准。

第十八条合同双方均不得给对方员工及其亲属提供任何形式的回扣、酬金、物品或者其他有形或者无形的利益,小额广告礼品除外。

第十九条本合同自双方盖章之日起生效。本合同壹式贰份,甲乙双方各持壹份,具有同等法律效力。

2、如因X国大学由于审查学生报名资料而延后发放录取通知书所导致甲方不能按时将乙方的面试的所有资料快递到法国大使馆备案;乙方不能按时参加面试和签证,甲方负责继续为乙方办理下学期赴法留学申请和签证,并免收下次X国大学报名费;

3、指导乙方准备规范的申请X国大学报名所需的全部资料(含学习计划和个人简历及全部法文公证文件);负责办理法文公证/翻译的手续;协助办理签证,面试辅导等相关事项的咨询服务和面试辅导;

4、指导乙方准备规范的交X国大使馆的签证,面试需要的全部资料;

5、受托人对委托人提供的所有材料,均负有保密义务。除为委托人入学申请、签证申请目的之外,不得向无关的第三方透露。

二、乙方的责任与义务:

留学申请人必须对所申请的国家及院校和语言培训学校作全面了解,再针对自身的学习能力、经济能力等,自愿作出正确的出国留学选择,自愿签定及严格执行此协议各条款。身体素质方面:有无传染病,是否健康;心理素质方面:能否承受异国他乡的不适应感;学习能力方面:能否胜任法语的基础训练;守法守纪方面:能否遵守学校的校规及当地的法律及当地的习惯;经济担保方面:能否支付国外留学、发展期间的费用;

1、自签约之日起,乙方应积极配合甲方,及时向甲方提供办理赴法留学所需的各种文件,并保证文件的真实,按照合同规定及时付款;

2、必须遵守本国和所留学国家的有关法律法规及留学院校的规章制度;

3、如是大学生在读生或毕业生应准备大学所学课程的学时/学分/课程说明的法文公证件;

4、乙方应按时按要求根据本人语所学的程度在X国大使馆个人页面上注册,并将注册号、密码、个人简历、学习计划、报名表交给甲方以便协助办理相关手续.

随时阅读个人页面和及时处理法语考试、面试和签证的页面程序:

A、按你的个人页面要求向X国大使馆财务处交语考试费XX元后马上在个人页面上填"付款声明"页面;天左右选择语考试时间/地点;打印准考证/参加考试;

B,按你的个人页面要求向国大使馆财务处交面试费XX元后在个人页面上填"付款声明"页面;天左右选择面试时间/地点;

C、面试后,建立签证"个人页面"并随时阅读个人页面查看交签证资料和取护照时间(约3-5天)。

5、乙方语成绩需达到:

6、 乙方持有甲方提供的X国学校语言注册书,大学专业预注册书和法国住房担保证明书,前往法使馆办理签证手续,此行为视为乙方接受甲方的安排和服务.

7、如果乙方的条件不适合所报大学及专业的录取条件, 或申请人申请的学校招生已满,可否改报其它学校及其它专业:( )填可以或不可以,

8、赴国首次自带学费(XX元 )及生活费约(XX元 ),存入国银行,办理国居留证;

9、办理文公证/翻译的全部资料的费用由乙方自付公证/翻译公司;

10、乙方应按甲方安排时间离境;

11、 乙方获取签证后抵达目的地国家的学校, 乙方必须待法国政府住房补贴及延签资料手续到达后方可自愿转学。入学后,本协议书中规定的相关服务项目执行完毕,待境外的服务:入学、住宿、开立个人帐户、X国居住证、X国政府给学生的住房补贴手续办理完后.本合同终止。但乙方如有需要,甲方可协作指导。

三、交费程序:

(按以下条款规定支付)

1,需交X国大学报名费申请费: 元 无论获签或拒签或乙方若中途退出,无论什么原因,此款全不退.如未获取法国大学录取通知书,此款全退;

2、签证费约人民币XX元左右,由学生到该国大使馆自行支付领使馆。

3,咨询 服务费用:

A, 工本费(人民币):XX元 。无论获签或拒签或乙方若中途退出,此款全不退.

B, 境内外服务费(人民币)XX元如拒签,此款全退;如乙方中途终止合同或不配合甲方继续留学工作,此款全不退.

4、境外生活费、学费、医疗保险费等由学生到达该国学校按学校规定及时自行交给 学校或相关部门;

四、违约责任:

1、 如果乙方在获取录取入学通知书后,在送签前,要求终止与甲方签署的教育咨询服务合同无论什么原因,甲方不退还前期留学留学咨询服务费1/2和全部报名费申请费及公本费,乙方必须退回法国大学录取入学通知书及住房原件;

2、 如果乙方在签证申请材料送签后或获得签证后,要求终止与甲方签署的委托协议书无论什么原因,甲方不退还收取的任何费;

3、 若属退款的情况必须持原收据退款,否则不于退款,退款一旦付给乙方,本协议自动失效。(需签约人前来退款)

4, 乙方在签此合同后3个月内或甲方获取法国大学语言入学通知书和专业预录取通知书后2周内甲方无法联系乙方,视为乙方自动放弃留学法国,无论什么原因,甲方不退还收取的任何费用,本协议失效。

5, 乙方赴国后,因本人提供材料与实际情况不符,或者没有达到该国大学语言要求条件及其他方面的条件,导致大学拒绝入学,甲方不退还所收取的任何费用;

6, 乙方在国入学后,如因个人原因:生病、意外事故等,或由乙方个人决定,不能或不愿在法国继续学习,甲方不退还所收取的任何费用;

7,若遇不可抗拒的情况(如战争、自然灾害、军事行动、国内外及院校政策变化如罢工罢课等)导致无法履行协议,本协议失效,甲方收取的已产生的费用不退;

8, 甲方不承担乙方因办理出国留学而产生的辞职、失业、停学、公证及翻译费、交通费,语培训费,考试费,面试费等相关费用及责任;

9, 如双方发生争议,应本着相互谅解的原则协商解决,协商无效时,应将争议事项提交签约地法院解决;

注:1.申请人必须配合境外机构完成境外服务工作;

国校方有权按照学生的成绩及其他资料决定学生申请的录取专业.及录取年级。并发放语言入学通知书及专业预录取通知书和X国住房证明;

在教学《望庐山瀑布》中,我尝试新的教学方法。

一、 由学生自由背诗,有学生背诵到这一首诗时引入新课

很多学生在幼儿园时就已经会背很多古诗,我引导学生背诵自己会背的古诗,当有学生背到这一首时我让学生尝试自己默写,我来朗诵,对于学生不会写的字,允许注拼音,这一过程大约需要10分钟。因学生写字速度、对句子的理解程度都有不同,所以默写出来的诗千差万别。我巡视中发现大部分学生写完时,我在黑板上板书,让学生一一对照,让学生在修改时问一下自己为什么这样写,同时结合挂图看美景。我认为在纠正错别字中学生很容易理解诗意,如“望”就是看,望庐山瀑布就是看庐山的瀑布。李妍写的是“暴布”,她认为这个字是多音字,在纠正这个字时引导学生开动脑筋,怎样记住这个字,有学生说:“水流的太暴了,就成了瀑布。”通过直观的看图启发学生:“流的暴的水就是瀑布吗?”细心、动脑的学生看出来了:“在高高的山上流的暴的水就是瀑布。”高莹莹同学穿插了一个脑筋急转弯:“什么布剪不断?”多种形式的交流让学生对瀑布不仅有直观的认识,更有自己独特意义的见解。

二.在纠正错别字过程中,学生理解了诗意,在直观感知的基础加上理性的分析和思考,学生背诵起来更容易,指名背、互背、接力背等多种形式记忆。

三、你喜欢哪个词?哪个字?哪句诗?说说你自己的看法。

很多学生喜欢“遥看瀑布挂前川”和“飞流直下三千尺”,学生解释是“遥”的意思是遥远,远远的看瀑布像白布挂在上面,而且在动,很美。有的学生说“飞”是速度很快,有三千尺,(教师要引导学生理解三千尺)很高很高,如果有机会,一定去看看,用眼镜发现美、欣赏美,用耳朵去听一听瀑布飞下来的壮观。

接着我准备让学生默写一遍古诗,加强记忆的同时想像美丽的瀑布,边想像边默写,还安排了叶圣陶先生写的《瀑布》让学生欣赏,但由于学生默写速度慢,后面的内容没有进行。

在本节课中,我认为古诗教学可以分为四步:

1、教师朗诵,学生默写。

2、教师板书,学生纠正错别字,再出示挂图引导学生理解诗意,反复诵读。

3、再次默写,将诗、意结合,进行感情升华。

4、拓展训练。

1、不大气。不大气与性格和经历有关,不大气有很多种理解,我更多倾向是不自信,可能是我过于拘谨的性格和经济比较拮据的经历,在为人处事方面,曾有人提示我不大气,放不开,我也意识到是一个很大的缺陷,不仅要了解更多为人处事规则,更要大气。

2、太土气。律师应该像绅士,农村出生的我,在很多方面的确太土气,在穿着、生活、为人处事等方面,都有待提高,特别是观念和思维。

3、不善包装。在市场经济中,需学会适度包装,过于实在,朴实,反倒不利于交际与工作,应适当顺应社会,不能太死板。

4、有点理想化。人应该有理想,但不能理想化。不过,很多简单的道理,做到却很难,我感觉我在感情和工作上还是有些理想化,很难把握好现实与理想之间的平衡。

pocketed with this passion and thinking, i tasted to use mathematicalmodeling into practice and solve the practical problems by attending thenational college mathematical modeling contest with the other two schoolmates onbehalf of our college. it required us to evaluate the water quality ofchangjiang river according to the data, through which we had to analyze thewater pollution in every region and predict the trend of it in the y we had to bring out the plan against it. it was really a challenge forus towards flood of data and estimations as long as 17 pages. we tried almost awhole day only to filter those data and take the evaluations into comprehensiveaccount. pulling down various models we had built before, we were so defeatedthat we wanted to give up many times. however, we finally found the satisfactorymodel thanks to our encouragement to each other which armed us with fullstrength to go managed to evaluate the water quality by compositeindex model, which could not only represent the evaluation factors, but alsoreflect the main impacts of the contaminations to the water pollution. wepredicted the future water pollution through multiple linear regressions fittingand brought out the plan against it by building linear optimization y, we got the second prize in beijing for our thesis. three days’ andnights’ modeling experience had cooled our passion and gave us even more calmthinking instead. the creation of the mathematical modeling, along with thesuccessful solution to the problems through it lied on the solid mathematicsfoundation, strong modeling ability, accumulation of the knowledge on differentfields, unique creative ideas and creativity.

the experience from this contest further aroused my interest in mathematics.i began to pay more attention to its application as well as learning thetheories. in addition, i tried to catch every opportunity to take part in thepractical mathematical modeling. my efforts finally rewarded when i was in thefirst term as a junior. i had a chance to participate in the 3-day electricianmathematical modeling practice-----classifying the sports programs for a bigsports meeting. being familiar with the graph theory, i immediately found theway to solve the problems by seeking the best hamilton circuit line. facing thenearly 8.7 billion data files with different orders much more than that on thenational mathematical modeling contest, i spent a long time on algorithm withoutany perfect result. i wasn’t defeated towards this case, but so excited insteadthat i could have such a chance to challenge and improve myself. looking updozens of files, i finally made a perfect end of the practice by using thegenetic algorithm into full account. it needs both a successful model and aneffective arithmetic to solve these problems. , which largely shortened theoperation time and improved the operation result. i learnt a lot from thispractice. i came to know that to build successful mathematics modeling that caneffectively solve the practical problems, we must take the operation cost

summarizing my failures in the mathematical modeling electrician practice andproceeding from my interest in this field, i began to think of collaborating onthe “mathematical modeling saloon” with several students from mathematics andcomputer departments, taking the computer algorithms and mathematical modelingas the two themes of the book. every tuesday afternoon, we would organized thosestudents interested in this field to study and exchange the ideas and arithmeticby imparting experience, sharing what we learnt, pondering together anddiscussing with each other. both the traditional transportation & storageproblems and the modern stimulated annealing arithmetic (saa), ant algorithmhave ever been the topic of our discussion, from which i have learnt manythinking styles and methods to the problems from the students both inmathematics and computer department. so far, i am excited to see that thisactivity is still in the wind with more and more participants and it aroused alearning upsurge in our college.

the fields of catalyst development, catalyst inactivation, reaction dynamics,

reaction mechanism, geochemical reaction mechanism, environmental-chemical

reaction mechanism. In analytical chemistry, China lags relatively behind its

Western counterparts in areas such as instrumental analysis and theoretical

analytical chemistry. Basically, China relies on import for large-scale

analytical instruments. By contrast, the United States has many world-leading

me a stimulating and liberal academic environment, apart from the sophisticated

research facilities. Rice University is my top priority in applying for a Ph.D.

program and I choose to specialize in physical chemistry or in analytical

chemistry.

At Rice University, I plan to learn broader-based foundational theories in

my chosen fields. With my solid interdisciplinary knowledge and my ability for

the quick assimilation of new knowledge, I intend to secure for myself a RA

status to directly start my laboratory research under the guidance of my future

advisor. I can also work as TA so that I can study while teaching and conducting

my internship. I can apply, test and consolidate the theoretical knowledge that

I acquire in the process of internship and degree program. Finally, through

theoretical study and scientific research, I would endeavor to produce a

well-written dissertation in which I hope to achieve some breakthroughs on both

the theoretical and the research level.

After obtaining my Ph.D. degree, I intend to enter one of the top research

institutes to delve deeper into some challenging subjects and to achieve some

research fruits. After accumulating certain research experience at an actual

research institute, I plan to return to China to work as a professor at a

leading Chinese university, a position which will enable me to train many more

academic professionals in physical or analytical chemistry. At the same time, I

will also dedicate myself to turning my laboratory research results into yet

more patents and inventions, which can further be developed into products with

pragmatic applications.

During my studies in the United States, I will attempt at some detailed

observations of its capital market, the most mature of its kind in the world, to

acquire some necessary knowledge in company management and capital operation.

For ultimately my career objective is to establish my own company to manufacture

my own products, especially those environmentally-friendly chemical products,

based on my patents and inventions.

Program: 20th Century American Literature

“The apparition of these faces in the crowds: /Petals on a wet, blackbough.” My first reaction on reading Ezra Pounds 1916 poem In a Station of theMetro was that of outrage. Is it a poem by any definition? If it is a poem, howis it to be interpreted and understood? And finally, what are the implicationsthat this poem has produced for the twentieth- century American literature?

My initial bewilderment subsided as I realized that there must a raisondetre behind this apparently bizarre literary phenomenon. What I should do isto put this poem into the context of the American literary evolution andliterary history. At least, the poem raises an important challenge. It requiresme to understand some of the crucial changes that must be happening around theturn of the last century.

My subsequent studies indicate that this poem represents part of the largerliterary movement known as Imagism, which included such theorists andpractitioners as T. E. Hume, Hilda Doolittle, Amy Lowell, Ezra Pound, etc. Themovement was a direct reaction to the late Victorian poetry, which had becomeextremely artificial, emptily “rhetorical” and “ornamental”。 To address suchproblems, it was necessary to loosen the metrical pattern and bring it backcloser to the rhythms of ordinary speech. Consequently, the “imagist” movementhad a great deal to do with promoting experiments with free verse, advocatingamong many creeds the need “to allow absolute freedom in the choice of subject”and “to produce poetry that is hard and clear, never blurred nor indefinite.”When Archibald MacLeish said in his Ars Poetica (1926) that “A poem should notmean / But be”, he had similar concerns in his mind. Imagism, minor as it is asa literary movement, triggered important changes in literary criticism,introducing the notion of internal studies as embodied by New Criticism tosubstitute the conventional critical practices.

The foregoing incident is but one instance that happened in my study ofliterature. For a Chinese student like me, it has at least two importantimplications. First, a literary work must not be treated in isolation. Itinteracts with what is written before it and after it and this historicalperspective is one way in which we may add to our interpretation. Second, it isimportant to be acquainted with relevant literary theories when interpreting agiven literary work.

A student majoring in English (& International Trade) at the EnglishDepartment of _ University, I grew increasingly interested in literature duringthe second half of my undergraduate program. Of course, I was trained to be astudent of English language in the first place and as such I received thestandard academic training typical of a student of English major. For the firsttwo years, I primarily had intensive trainings in basic English language skillsby attending courses in advanced listening, writing, reading and oralcommunication. My distinguished academic performance is demonstrated by the fourconsecutive first-class and second-class scholarships I won from 1999 to 20__.In 20__, I was awarded the second prize in the campus-wide English compositioncontest and in 20__ the first prize in the translation contest. Anotherindicator of my scholastic achievements is the honor of Outstanding Graduate of_Province that I received by the time I completed my undergraduate program.

I started reading English novels as soon as I began my undergraduateprogram. But I primarily used it as a way to increase my vocabulary and toimprove my reading comprehension. Since the second year in my undergraduateprogram, our curriculum included five major courses related to Anglo-Americanliterature and culture: Selected Readings in English Literature, SelectedReadings in American Literature, Introduction to European Culture, The Historyof English and American Literature, Selected Readings in English & AmericanFictions. Those courses provided me with a cultural and historical frameworkwith which to understand Anglo-American literature and to know theirinterrelationships. I grew familiar with major authors and works in British andAmerican literature and gained tentative knowledge of western criticalapproaches. Books like Literary Theory—An Introduction by Terry Eagleton and20th Literary Criticism edited by David Lodge proved somewhat esoteric to me,but they allowed me to realize that there are important critical approaches verydifferent from those in Chinese literature and different from conventional onesin western literature itself.

My defining interest in British and American Literature led me to writeabout T. S. Eliot and his poetry in my thesis Dull Roots Stirred by the SpringRain—Meaning Through Imagery in T. S. Eliots “Waste Land”(available uponrequest)。 In this thesis, I examined different groups of imagery that T. S.Eliot employed to externalize his central ideas and emotions. I also analyzedthe theoretical justifications for his virtually excessive use of imagery bytracing it to his theory of “Objective Correlative” that he proposed in Hamletand His Problems, a critical essay contained in The Sacred Wood (1920)。

In an extracurricular event, students in our department put onShakespeares drama Romeo and Juliet and I was the performer-director. Based onmy own understanding of the play, I changed its tragic ending and made it ahappy one by allowing the hero and the heroine to be resurrected and reunited. Ibelieve that a love of such intensity should be fulfilled, otherwise it would betoo pathetic.

In the last semester of my undergraduate program, I was recruited by myuniversity to teach the course Appreciation of American Literature to studentsof non-English major. By applying my computer skills, I developed a series ofcourseware, covering different periods of American literature and illustrated bygraphics and diagrams to make an otherwise difficult course interesting and easyto understand.

Nevertheless I am fully aware that my knowledge of American literature isfar from sufficient. I need to receive more advanced education for the sake of abetter career development. Therefore I plan to apply for a Graduate program inEnglish at the University of _, concentrating on modern and contemporaryAmerican literature.
